Please read these terms carefully before using the Convify.Ai platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing, browsing, or using the Convify.Ai platform (the "Service"), operated by Convify Technologies ("Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Service.

These Terms apply to all visitors, users, and others who wish to access or use the Service, including but not limited to the Convify.Ai dashboard, APIs, embeddable chat widgets, and any related services.

2. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account and use the Service. By creating an account, you represent and warrant that you meet this requirement.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or remain inactive for extended periods.

3. Service Description

Convify.Ai is an AI-powered chatbot platform that enables businesses to create intelligent chatbots trained on their website content, documents, and custom data. The Service includes:

  • Project and chatbot creation and management
  • Website crawling and document ingestion for training data
  • AI-powered chat responses using natural language processing
  • Embeddable chat widget for websites
  • Webhook and API integrations
  • Analytics and conversation history
  • Team collaboration features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

4. Subscription & Billing

4.1 Plans and Pricing

Convify.Ai offers both free and paid subscription plans. Features, usage limits, and pricing for each plan are described on our pricing page. We reserve the right to change our pricing with 30 days' notice to existing subscribers.

4.2 Payment Processing

All payments are processed securely through Razorpay, our authorized payment gateway. By subscribing to a paid plan, you agree to Razorpay's terms of service in addition to these Terms. We do not store your credit card or payment information directly on our servers.

4.3 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. Your subscription will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date.

4.4 Taxes

All fees are exclusive of applicable taxes (including GST for Indian users). You are responsible for paying all taxes associated with your use of the Service.

5. User Content & Data

You retain ownership of all content, data, and materials you upload, submit, or make available through the Service ("User Content"). By providing User Content, you grant Convify.Ai a limited, non-exclusive, worldwide license to use, process, and store such content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights and permissions to use and authorize Convify.Ai to use your User Content, and that your User Content does not violate any third-party rights or applicable laws.

We will not sell, rent, or share your User Content with third parties except as required to provide the Service (e.g., sending content to AI model providers for processing) or as required by law.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Transmit harmful, offensive, or illegal content
  • Distribute spam, phishing, or malicious content through chatbots
  • Attempt to gain unauthorized access to other users' accounts or data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to build a competing product or service
  • Overload or interfere with the Service infrastructure
  • Scrape or harvest data from other users' chatbots without permission
  • Use the Service to generate misleading or deceptive content

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

7. Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding User Content), is and will remain the exclusive property of Convify Technologies and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

The Convify.Ai name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Convify Technologies. You may not use such marks without our prior written permission.

AI-generated responses produced by your chatbots are derived from your User Content and the underlying AI models. While you may use these responses in connection with your business, the underlying AI models and algorithms remain the property of their respective owners.

8. Data Processing

In providing the Service, Convify.Ai processes data on your behalf. This includes crawling websites you specify, processing documents you upload, generating vector embeddings, and processing chat conversations between your chatbot and its end users.

We act as a data processor with respect to end-user data collected through your chatbots. You, as the chatbot owner, act as the data controller and are responsible for ensuring that your use of the Service complies with applicable data protection laws, including providing appropriate privacy notices to your end users.

9. API & Widget Usage

Convify.Ai provides APIs and an embeddable chat widget for integrating our Service into your applications and websites. Your use of these tools is subject to the following conditions:

  • API keys and widget identifiers are confidential and must not be shared publicly or embedded in client-side code in a way that allows unauthorized access.
  • You must comply with rate limits and usage quotas associated with your subscription plan.
  • You agree not to use the API to circumvent subscription limits or access features not included in your plan.
  • We may throttle or suspend API access if we detect abusive patterns or excessive usage.

The chat widget must not be modified in a way that removes Convify.Ai branding unless your subscription plan includes white-label features.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONVIFY TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Inaccuracies in AI-generated responses from your chatbots
  • Any interruption or cessation of the Service

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Convify Technologies and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content or your use of the Service
  • Your violation of any rights of a third party
  • Any claim by an end user of your chatbot related to the content or functionality of your chatbot

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

After termination, we will retain your data for 30 days to allow for data export. After this period, your data will be permanently deleted from our systems, except where retention is required by law.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Bangalore, Karnataka, India, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, both parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of 30 days.

If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, of India. The arbitration shall be conducted in Bangalore, Karnataka, India, in the English language, and the arbitral award shall be final and binding on both parties.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by sending a notification to the email address associated with your account and by posting a notice on the Service.

Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
